We have represented both employers and employees in negotiating and drafting employment agreements, labor agreements and handling terminations of employment for large and small companies of all kinds in nearly every conceivable industry. We specialize in structuring complex employment agreements, handbooks and policies for employers. We are very experienced in drafting and advising regarding noncompetition agreements, rights and invention agreements and confidentiality agreements.
International Business and Trade. We represent a number of multi-national companies, including manufacturers, financiers and service providers. We are fully versed in the issues associated with multi-national business, including the Buy America Act, international financing restrictions and subsidiary organizational matters. Our M&A experience covers:
Real Estate, Development and Land Use. We have been involved in numerous real estate developments in the United States and Canada. We assist in the formation of limited liability companies, corporations, partnerships, joint ventures, holding companies and real estate investment trusts for purposes of buying, selling, leasing and financing real estate projects. We have broad experience in diverse forms of finance, representing both lenders and borrowers in acquisition loans, land development loans, interim and permanent loans, construction loans and letters of credit. We are also adept at raising real estate capital through equity syndications, credit-enhanced financings, bond financings and government credit programs.
A significant aspect of our representation of real estate developers is understanding and navigating the myriad of land use restrictions and regulations and often working to obtain approvals, variances and exemptions to those provisions, including zoning, GMA, density, height restrictions, permits, entitlements, dedications, and cultural and historical designations.
Our project list is extensive and features landmark office buildings, mixed-use projects, condominiums, apartments, health care facilities, restaurants, shopping centers, industrial facilities and other commercial and residential real estate.
We are adept at negotiating and drafting leases, subleases and workouts of underperforming and defaulted leases, representing some of the largest landlords and tenants in the country.
Intellectual Property. We are experienced in advising both technology and non-technology companies on intellectual property issues that arise during the ordinary course of business operations, including the protection of IP portfolios, negotiating complex technology licensing transactions, assisting technology companies with technology development transactions including software development agreements, research agreements and distribution and reseller agreements.
